Terms of Service

1. Acceptance of Terms

By accessing evolvrxdigital.com, submitting an enquiry, or engaging EVOLVRX Digital ("EVOLVRX", "we") for services, you agree to these Terms of Service. If you do not agree, please do not use the site or our services.

2. Services

EVOLVRX provides growth engineering services including, but not limited to, SEO, paid media, content and lifecycle marketing, web and product design/development, video editing, analytics, AI automation, and custom software. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or proposal that, once accepted, forms part of these terms.

3. Proposals, Fees & Payment

All proposals are valid for 30 days unless stated otherwise.
Fees are quoted exclusive of taxes (GST/VAT) unless explicitly noted.
Payment terms are stated in the SOW. Standard terms are 50% advance and 50% on delivery for projects; monthly retainers are invoiced in advance.
Late payments may attract suspension of services and/or interest at 1.5% per month.

4. Client Responsibilities

To deliver effectively, we rely on timely input from you. You agree to:

Provide accurate brand assets, access credentials, and approvals.
Respond to feedback requests within agreed SLAs.
Ensure you have the rights to all content, trademarks, and data you share with us.
Comply with platform policies (Google, Meta, LinkedIn, etc.) that govern our joint work.

5. Intellectual Property

Your IP: You retain ownership of your pre-existing brand assets, content, and data.

Deliverables: Upon full payment, ownership of final deliverables created for your engagement (designs, copy, code written specifically for you) transfers to you.

EVOLVRX IP: We retain ownership of our frameworks, templates, tools, internal know-how, and any pre-existing components. We grant you a non-exclusive licence to use these within the scope of your deliverables.

Showcase rights: Unless you opt out in writing, we may reference your name, logo, and non-confidential results in our portfolio and marketing.

6. Confidentiality

Both parties agree to keep non-public information exchanged during the engagement confidential and use it only for the purpose of delivering the services. This obligation survives termination of the engagement for three years. A separate NDA, if signed, takes precedence.

7. Warranties & Disclaimers

We perform our services with reasonable care and skill, consistent with professional industry standards. However:

We do not guarantee specific results, rankings, conversions, or revenue. Marketing outcomes depend on many factors outside our control (market conditions, product, competition, platform changes).
Third-party platforms (Google, Meta, etc.) may change policies, algorithms, or approve/disapprove campaigns at their discretion.
All services are provided on an "as is" and "as available" basis beyond the express warranties stated in your SOW.

8. Limitation of Liability

To the fullest extent permitted by law, EVOLVRX's total aggregate liability arising out of or relating to any engagement shall not exceed the fees paid by you to us for the specific services giving rise to the claim during the three months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profit, goodwill, or data.

9. Termination

Either party may terminate an engagement by giving 30 days' written notice, unless a different notice period is specified in the SOW. Fees for work performed up to termination are payable. Monthly retainers are not refundable for the current billing period.

10. Website Use

You may not use this website to transmit malicious code, scrape content systematically, reverse engineer features, or infringe intellectual property. We may suspend or block access for any misuse.

11. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of Mumbai, India, unless a different venue is mutually agreed.

12. Changes

We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of the website or services after an update constitutes acceptance of the revised terms.
